8.1 Purpose and Regulatory Context
The Client acknowledges that services provided under this Agreement may be funded in whole or in part by the Department for Work and Pensions (“DWP”) under the Access to Work (“AtW”) scheme and are delivered in accordance with applicable professional and quality standards, including ISO 18841:2018 (Interpreting Services), ISO 9001 (Quality Management), and ISO 27001 (Information Security).
The Client further acknowledges that InSignLanguage is responsible for ensuring interpreter suitability, compliance, funding integrity, audit readiness, and service continuity under these standards and funding requirements.
8.2 Strict Non‑Circumvention Obligation
During the term of this Agreement and for a period of 12 months following its termination or expiry, the Client, the individual AtW beneficiary (where applicable), and any third party acting directly or indirectly on their behalf shall not, without the prior written consent of InSignLanguage:
a) directly or indirectly approach, solicit, engage, or contract with any interpreter who has been introduced, assigned, or made known to the Client through InSignLanguage;
b) seek or accept interpreting services from such interpreter outside the arrangements expressly facilitated and approved by InSignLanguage; or
c) facilitate, encourage, or permit any arrangement that bypasses InSignLanguage’s booking, compliance, or funding controls.
This restriction applies to AtW‑funded, partially funded, and non‑funded work where the services are the same as, similar to, or reasonably connected with services provided under this Agreement.
8.3 Access to Work Funding Integrity
The Client acknowledges that direct engagement of interpreters outside InSignLanguage’s control may:
-
compromise AtW funding eligibility or reimbursement;
-
breach DWP conditions, audit requirements, or reporting obligations; and
-
undermine ISO‑aligned service planning, safeguarding, and quality assurance processes.
Accordingly, all AtW‑related interpreting services must be arranged exclusively through InSignLanguage, unless a written exception is granted in advance by InSignLanguage and formally documented.
8.4 Additional or Extended Opportunities
Where any additional, extended, or alternative interpreting requirement arises involving an interpreter introduced by InSignLanguage, the Client shall refer the matter to InSignLanguage in the first instance.
Any such opportunity may only proceed where:
-
it is approved in writing by InSignLanguage; and
-
the commercial, compliance, and funding implications are agreed in advance,
acting reasonably and in good faith, with appropriate recognition of InSignLanguage’s role and responsibilities.
8.5 Breach, Remedies and Audit Rights
Any breach of this clause shall constitute a material breach of this Agreement.
Without prejudice to any other rights or remedies, InSignLanguage shall be entitled to:
-
terminate the Agreement with immediate effect;
-
seek injunctive or equitable relief to prevent or restrain further breach;
-
recover any losses, charges, or funding clawbacks arising from the breach; and
-
where relevant, report non‑compliant arrangements to funding bodies or auditors.
The Client agrees to cooperate with any reasonable compliance or funding audit relating to services delivered under this Agreement.
8.6 Reasonableness and Proportionality
The parties agree that this clause is reasonable and necessary to protect:
-
the integrity of Access to Work funding;
